AGREEMENT

To serve you better we have established our Terms and Conditions that we ask you to read carefully.

By reading these Terms and Conditions and by using our service, you acknowledge that you have read the following and agree to the terms as set forth.

The client (Company who placed the order to do business) is solely responsible for payment of fee(s) to signing agent regardless if the loan closes. Client will be responsible for all shipping and handling costs. The signing agent may charge for additional services such as e-mail and faxed documents as well as extra sets of documents or copies for the borrower. Bilingual notaries, when requested, will be charged an additional fee. A courier fee will be charged for special pick-ups or dropping off documents that take additional time of the signing agent.

If for any reason, (other then the fault of the signing agent) the signing agent is required to return to the closing table, the client will be charged an additional original fee for the additional trip.

To avoid cancellation fees, Florida Notary Express recommends that all parties give adequate time to prepare for the closing. The client needs to inform its borrower how the signing process will take place and inform them that their closing/signing agent will be calling them to set up or confirm their closing date and time. If the documents have started to be processed and the copies are made prior to cancellation, the client will be charged a processing fee. If the signing agent is en route to the closing and they get word that, the closing is cancelled then the client will be charged the entire fee of the closing.

Payment is due from client 15 days after signing date. Payments that are not received within 45 days of signing date will be considered late. A late fee of 10 percent will be charged on any unpaid balance. Additional collection cost and attorney fees will be added if balance remains unpaid for 90 days.

Any electronic signature and fax signatures are considered an original signature and are enforceable. Any verbal agreement must be in writing if it is to be enforceable.

The client must understand that our greatest assets are our staff and independent signing agents. We work very hard to find the best people, as well as spend thousands of dollars in training to make sure we have the finest signers/closing agents available for your every need. Therefore, we will not allow any of our staff to work independently for your company. You may not call or attempt to contact any of Florida Notary Express signing agents directly for any reason in regards to current or any future signings. Nor, will the client engage directly in hiring or contracting employment with any of Florida Notary Express signing agents.

If the client uses any staff member or independent signing agent that Florida Notary Express has either employed or contracted with during their employment or two years after their termination from Florida Notary Express then for each signing that is done by that staff member or independent contractor the client will pay $250.00 to Florida Notary Express for each signing that accrues from the first signing forward for damages and/or future damages.

In other words if for any reason the client hires a signing agent that works for or did work for or was contracted with Florida Notary Express and they do any closings for the client, the client will pay damages to Florida Notary Express of $250.00 per signing (Closing) as stated in agreement above.

This agreement is governed by the laws of Florida and will be adjudicated if necessary in the courts of Orange County Florida. In the event of arbitration or litigation, all fees including but not limited to attorney fees and court cost as well as all incurred expenses will be paid to the prevailing and damaged party.
